Terms and conditions

General information

This document governs the use of the website and the contractual relationship between the digital services provider (hereinafter referred to as the "Provider") and any natural or legal person who accesses, requests, or uses the services offered (hereinafter referred to as the "Client").

By accessing the website, completing forms, requesting a quote, placing an order, or paying an invoice, the Client confirms that they have read, understood, and fully accepted these Terms and Conditions. If the Client does not agree with them, they must cease using the services.

Scope of services

The Provider offers digital services, including but not limited to website creation, blog creation, online store creation, end-to-end eBook creation, custom QR code creation, SEO optimization, video content creation, text and image content creation, web domain evaluation, business consulting, as well as other digital products and services that may be launched later.

Services are provided under a managed service model, which involves technical and operational management by the Provider for the platforms created by it. For analysis, content, or consulting services, the Provider delivers materials, recommendations, or evaluations, and implementation may remain the Client's responsibility.

Working model

The Client understands that, for platforms developed by the Provider, technical administration is carried out exclusively by the Provider. The Client does not receive access to the administration area or backend, and changes are performed by the Provider within the hours included in the contracted package. Requests exceeding the included hours may be billed additionally according to the communicated rates.

Packages, offers, and acceptance

Services are described on the website or in individual offers sent to the Client. The offer is valid during the indicated period. Acceptance is made by written confirmation or by payment of the invoice. Payment constitutes full acceptance of the Terms and Conditions.

Prices and payment

Prices are expressed in the currency specified in the offer. Payment for managed services is made annually, in full and in advance. For one-time services or digital deliverables, payment is made according to the issued invoice. Failure to pay on time may result in service suspension. Paid amounts are non-refundable after service provision has begun because the services are digital and customized.

Contract duration

For recurring services, the standard contract duration is 12 months from activation (or 24 or 36 months if the client opts for a longer period). The contract cannot be unilaterally terminated before the expiration of the period. Renewal is made by paying for the next period.

Delivery timelines

Delivery timelines are estimates and depend on project complexity, communication promptness, and the submission of materials by the Client. Delays caused by missing materials or feedback are not attributable to the Provider.

Client obligations

The Client must provide accurate and complete information, submit the necessary materials on time, and comply with applicable legislation. The Client is responsible for the legality of the provided content and for the rights over it. The Provider may refuse requests involving illegal content or content contrary to legal regulations.

Content and copyright

The Client declares that they hold usage rights over the submitted materials. The Provider does not verify their origin and cannot be held responsible for potential copyright infringements. For materials created by the Provider, the right of use is granted to the Client after payment for the service.

Intellectual property

During the contract, the Client benefits from usage rights over the platform and delivered materials according to the service purpose. The technical structure, implementation methods, and overall design remain the Provider's property, except for elements created specifically for the Client and fully paid. Upon contract termination, the Client may request export of their own content, subject to technical feasibility.

Limitation of liability

The Provider does not guarantee commercial results, search engine rankings, traffic, conversions, or profit. The website, blog, online store, SEO materials, consulting, or content represent tools and recommendations, not guarantees of economic performance. The Provider's liability is limited to the value of the services paid for the current contractual period.

External factors and force majeure

The Provider is not responsible for interruptions or losses caused by third-party providers, network problems, cyberattacks, software updates, changes in search engine algorithms, or other situations beyond its control.

Suspension and termination of services

The Provider may suspend or terminate services in case of non-payment, breach of terms, illegal requests, or abusive use. Suspension does not cancel the Client's payment obligations.

Confidentiality and personal data

Personal data are processed according to the Privacy Policy published on the website, in accordance with applicable legislation.

Modification of terms

The Provider may modify these Terms and Conditions at any time. The updated version becomes applicable from the date of publication on the website.

Applicable law and jurisdiction

The terms are governed by Romanian law. Any disputes will be resolved amicably, and if not possible, by the competent courts in Romania.

Final provisions

If a provision becomes null or unenforceable, the remaining provisions remain valid. The Provider's failure to exercise a right does not constitute a waiver of that right.
